1. INTRODUCTION

These Terms & Conditions ("Agreement") set forth the legal agreement between Neuvia AI, a local business growth agency, and the Client regarding the provision of business automation, marketing strategy, and digital infrastructure services. By engaging Neuvia AI’s services, the Client agrees to the terms below.

2. SERVICE OVERVIEW

Neuvia AI delivers complete growth systems through the following service pillars:

2.1. Automation Systems

Prospect attraction and nurturing automations

CRM setup and management

SMS, email, and chatbot implementation

Calendar and appointment workflow automation

2.2. Marketing Strategy

Strategic and persuasive sales copywriting

Funnel design and conversion optimization

Organic growth and local SEO

Full-funnel campaign deployment (excluding paid ads)

2.3. Web Development

High-converting branded websites

Hosting, technical setup, and optimization

Domain and SSL setup

Mobile and performance tuning

3. AGENCY-SPECIFIC PROTECTIONS

3.1. Performance Disclaimer

Neuvia AI provides best-effort services but does not guarantee specific financial or operational outcomes.

3.2. Market Conditions

Client understands that results may vary due to market forces beyond Neuvia AI’s control.

3.3. Industry Compliance

Clients are responsible for ensuring their own compliance with industry-specific regulations.

3.4. Platform Dependencies

Neuvia AI leverages third-party platforms (e.g., GoHighLevel, Zapier) and is not liable for platform changes, downtime, or data loss.

3.5. Client Cooperation

Timely feedback, approvals, and information delivery are essential. Delays or lack of responsiveness may affect service outcomes and timelines.

4. SERVICE DELIVERY EXPECTATIONS

4.1. Timelines

Initial setup typically takes 2–4 weeks depending on package and client responsiveness.

4.2. Optimization

All services include ongoing refinement and optimization based on data and campaign performance.

4.3. Reporting

Monthly performance summaries and recommendations will be shared.

4.4. Revisions

Neuvia AI offers 1–2 rounds of revisions per project phase unless otherwise stated. Additional revisions may incur fees.

4.5. Support

Emergency support response within 24–48 business hours. Ongoing support via email and video call.

5. CLIENT DATA & CUSTOMER MANAGEMENT

5.1. Data Separation

Client business data and customer data are handled separately, with secure and isolated processing.

5.2. Data Processing Consent

Client consents to Neuvia AI’s access and processing of data strictly for service execution.

5.3. Privacy Compliance

Clients are responsible for ensuring customer privacy and acquiring communication opt-ins in compliance with A2P, TCPA, and GDPR/CCPA.

5.4. Retention & Deletion

Client data will be stored for 60 days post-termination unless otherwise agreed upon in writing.

5.5. Cross-Client Isolation

No customer or operational data will ever be shared across clients.

6. PRICING & PAYMENT

6.1. Packages

Starter – $997/mo

Growth – $1,497/mo

Scale – $2,497/mo

All tiers may require a one-time setup fee (varies by scope).

6.2. Payment Terms

Monthly billing is prepaid via card or bank transfer.

Setup fees are due before work begins.

Payments not received within 7 days of due date may result in service suspension.

6.3. Refunds

No refunds on setup or monthly service fees. Service is time-and-effort based, not performance-contingent.

6.4. Upgrades/Downgrades

Clients may adjust packages with a 14-day notice before the next billing cycle.

7. INTELLECTUAL PROPERTY

7.1. Ownership

Clients own custom-built assets (funnels, sites, automations) once final payment is complete.

7.2. Licensing

Sales copy, graphics, and web content delivered are licensed for use by the client. Neuvia retains the right to reuse frameworks, strategies, and templates.

7.3. Replication Rights

Clients may not resell, duplicate, or redistribute Neuvia-built systems outside their business without written permission.

7.4. Branding

Neuvia AI may use the client’s logo/brand in case studies or portfolios unless otherwise requested in writing.

7.5. Method Protection

Custom methods, processes, and proprietary AI workflows remain the intellectual property of Neuvia AI.

8. COMPLIANCE REQUIREMENTS (A2P, TCPA, GDPR, CCPA)

Neuvia AI implements communication systems in compliance with U.S. and international data regulations. Clients are responsible for:

Obtaining explicit opt-ins for customer messaging

Providing unsubscribe/opt-out functionality in all communication

Maintaining records of lead consent

Limiting message frequency and honoring communication preferences

Ensuring clear disclosure of chatbot/automated messages

Following double opt-in where applicable

Acknowledging that Neuvia AI is not liable for misuse of automation or compliance failures on the client’s part

9. TERMINATION & TRANSITION

Either party may cancel with 30 days’ written notice.

Setup fees and prior month’s payments are non-refundable.

Upon termination, Neuvia will provide transition assistance and export of relevant data upon request.

Service termination does not release the Client from any outstanding payment obligations.

10. LIMITATION OF LIABILITY

Neuvia AI shall not be liable for incidental or consequential damages.

Liability is limited to fees paid in the last 60 days.

Neuvia is not responsible for platform outages or changes to third-party tools.

Clients accept the risks inherent in digital growth, including market volatility and campaign performance.

11. PROFESSIONAL SERVICES STATEMENT

Neuvia AI provides implementation, optimization, and advisory services, not legal or tax counsel.

All strategic recommendations should be validated by client-side advisors.

12. DISPUTE RESOLUTION

Disputes shall first attempt resolution through informal negotiation.

If unresolved, arbitration will be conducted in Wyoming under local laws.

Clients waive the right to pursue class action claims.

13. GENERAL TERMS

This Agreement is the full and final understanding between both parties.

Any change requests outside scope must be agreed upon in writing and may incur additional costs.

Client shall not solicit or hire Neuvia AI employees or contractors without written permission for 12 months post-contract.

Privacy Policy

1. OVERVIEW

Neuvia AI ("we", "our", or "us") is a local business growth agency that builds automation systems, marketing strategies, and web infrastructure for service-based businesses. This Privacy Policy describes how we collect, use, protect, and share data across our operations and services.

We operate in dual roles:

As a Data Controller when handling our own business operations or direct clients’ information

As a Data Processor when managing customer data on behalf of our clients (e.g., prospects who fill out forms on client websites)

2. WHAT DATA WE COLLECT

A. Client Business Data (Controller)

Business contact and billing info

CRM and customer list uploads

Branding assets (logos, copy, images)

Marketing performance data

Payment and invoicing details

B. Client Customer Data (Processor)

Collected and processed on behalf of clients:

Names, phone numbers, emails, location

Communication history from SMS, email, or web chat

Purchase history and service preferences

Behavior in sales funnels (e.g., form abandonment, click-through)

Consent timestamps, opt-in forms, and unsubscribe records

C. Website & Digital Analytics Data

Collected through Neuvia-built websites and client integrations:

IP addresses, browser/device info, session data

Form submissions, chatbot interactions

Visitor behavior (scroll, clicks, page views)

A/B test variants and conversion rates

Referrer and UTM tracking for campaign attribution

3. PRACTICAL DATA FLOW EXAMPLES

A lead visits a client website built by Neuvia → submits a form → their info is routed through automation tools → messages are sent via integrated SMS/email tools → analytics track opens, clicks, and engagement.

Neuvia aggregates this data for the client’s monthly report → we never mix data between clients or use it for Neuvia’s own marketing unless explicitly permitted.

4. LEGAL BASES FOR PROCESSING

We process personal data based on:

Contractual obligations (e.g., client onboarding and support)

Legitimate interests (e.g., optimizing client campaign performance)

Consent (for automated messages, cookies, or web tracking)

Legal compliance (e.g., TCPA, GDPR, CCPA)

5. WHEN WE ARE A CONTROLLER VS. PROCESSOR

Data Controller

When collecting data from clients for billing, communication, onboarding, or analysis

Data Processor

When managing and storing customer data on behalf of clients for marketing, messaging, and CRM workflows

We execute Data Processing Agreements (DPAs) with our clients to clearly define roles, responsibilities, and compliance terms.

6. CLIENT RESPONSIBILITIES

When Neuvia builds systems that process customer data, the client is the data controller. Clients are responsible for:

Securing lawful customer consent

Providing opt-out options in all outbound messaging

Adhering to regional regulations (e.g., GDPR, TCPA)

Managing customer data access and deletion requests

7. SHARED RESPONSIBILITY MODEL

Neuvia AI ensures system compliance, encryption, and platform integrations. However, clients must ensure:

Lawful customer data collection

Use of compliant lead generation practices

Use of accurate, up-to-date customer lists

That messaging content aligns with legal guidelines

8. INDUSTRY-SPECIFIC PRIVACY CONSIDERATIONS

We serve many regulated service businesses (e.g., automotive, healthcare, wellness). Neuvia AI:

Avoids storing sensitive PII (e.g., medical records or payment info) unless explicitly agreed upon

Implements opt-in language appropriate to niche compliance standards

Supports privacy documentation requirements (e.g., TCPA text consent wording for mobile detailers)

9. WEBSITE AND LEAD DATA

Websites and landing pages we create may collect:

User location and device information

Form submissions for lead generation

Heatmaps, scroll tracking, or click analytics

SEO tracking data via Google Search Console

Pixel data from Meta/LinkedIn for remarketing

Cookies & Tracking:

We or our partners may use cookies to enhance UX, improve campaign performance, and provide conversion attribution.

Users may manage cookies through browser settings or opt-out banners (where required).

10. DATA USAGE FOR MARKETING & SALES

We may process the following to improve campaign performance:

Lead scoring (based on interactions, tags, and activity)

Customer journey tracking (e.g., how far they progress in the funnel)

Attribution analysis (to determine which campaign/channel led to a conversion)

A/B testing (to improve website copy, buttons, or offer placement)

11. THIRD-PARTY SHARING

We share data only with vetted providers necessary for service delivery:

Email & SMS Providers (Mailgun, Twilio)

Hosting Services (Google Cloud, Cloudflare)

12. DATA RETENTION & TERMINATION POLICIES

Customer data processed on behalf of clients is deleted after project completion unless otherwise specified.

Data can be exported upon termination.

In the event of a business sale or acquisition, clients will be notified before any data transitions.

In emergency scenarios, access will be provisioned to designated contacts to maintain business continuity.

13. SECURITY MEASURES

Neuvia AI protects data via:

SSL encryption on all sites

Role-based internal access to systems

Password and 2FA-protected client portals

Data backups and incident response protocols

Periodic security audits of third-party tools

Client-submitted credentials stored securely

14. USER RIGHTS

Depending on your jurisdiction, you may:

Access or correct your personal data

Request deletion of your data

Withdraw consent at any time

Opt out of marketing communications

File a complaint with your local data authority
